WIDERNET COMMUNICATIONS LTD PARTNERSHIP - TERMS AND CONDITIONS

Please read these Terms and conditions carefully before registering and using the Service.

1  INTRODUCTION

1.1 Widernet ("we" or "us") wishes to appoint you ("you" or "the Partner") as a Partner of Widernet  to enable you to promote the www.christianconnection.co.uk or www.christianconnection.ie or www.ivoryTowers.net ("our Websites" or "the Websites”) through your Website in exchange for Commissions.

1.2 This invitation is subject to a satisfactory application and compliance with the terms and conditions.

1.3 By clicking on the "I have read and accept the Terms and Conditions" box at the bottom of the signup page you indicate your acceptance of this Agreement and its terms and conditions. If you do not accept these terms and conditions you will not be allowed to become a Partner.

1.4 We will evaluate your application and notify you of your acceptance or rejection. We reserve the right, at our sole discretion, to reject any application to become a Partner, and in particular we may reject your application if we determine that your Website is unsuitable for our Partner Programme.

1.5 We also reserve the right to terminate your participation in the programme with immediate effect notice if you do not comply with our terms and conditions, or with 30 days notice for any other reason.

2 DEFINITIONS

In this Agreement the following words and expressions shall have the following meanings:

2.1. "Applicant" means an entity which wishes to become a Partner.

2.2. "Account" means the account set up for each Partner by Widernet into which Commission shall be deposited;

2.3. "the Commission" means the commission paid by Widernet to the Partner.

2.4. "Links" means the hyperlinks (whether text, a button, a banner or any other acceptable format) to the relevant website owned by Widernet in the form agreed.

2.5. "Service" means the arrangement whereby Partners can send leads to  Widernet  so that Widernet can increase subscriptions and Widernet arranges for the Partner to receive Commissions from the business that Widernet generates from the Partners.

2.6. "Visitor" means any person or entity that clicks on a Link;

3. THE PARTNER'S WARRANTIES

3.1 The Partner confirms that it has read the documentation for the Service and understands its features and rules. As part of the registration process, an email and password combination will be selected enabling each Partner to access its specific area where all pertinent information can be accessed in the Service Website.

3.2 The Partner confirms to WIDERNET that the Partner:
    3.2.1 if he/she is a private individual he/she is not under 18 years of age;
    3.2.2 it will continue to provide WiderneT with accurate, complete and non-misleading information regarding the Partner’s identity to enable it to be registered and any other matters relevant to this Agreement;

3.3 The Partner acknowledges that Widernet shall act upon any information or instructions that WIDERNET reasonably believes comes from the Partner and WIDERNET shall not be liable to the Partner.

3.4 The Partner shall immediately notify Widernet by email at partner@widernet.co.uk if:
    3.4.1 the Partner believes that any unauthorised use has or may be made of the password referred to in clause 3.2.3; or
    3.4.2 the Partner suspects or is aware of any other actual or possible abuses of the Service.

4 THE PARTNER’S OBLIGATIONS

4.1 The Partner confirms that until this agreement is terminated:
    4.1.1 it shall not provide WIDERNET with any information or with any materials that infringe the rights of any other person (including any intellectual property rights) and further acknowledges to at all times respect the intellectual property and other rights of Widernet. 
    4.1.2 it shall not copy or alter the code of any Link and the intellectual property rights of Widernet pertaining thereto are acknowledged;
    4.1.3 none of the information or materials supplied by the Partner to Widernet shall be libellous, obscene, abusive or offensive nor shall it breach any law or regulation or give rise to any legal claim of any sort;
    4.1.4 it shall not provide, promote, distribute, place or otherwise publish any content which is libellous, defamatory, obscene, pornographic, abusive, offensive or otherwise objectionable, fraudulent or violates any law or breach the rights of others. As Widernet may not review all information provided, each Partner remains solely responsible for the content of its web site.
    4.1.5 none of the sites on which the Partner places any Links shall be adult sites, or sites that display adult banners, sites that promote or condone violence, hatred, promote money making schemes, or sites that promote any illegal activity. The Partner’s website or websites shall likewise not display or contain any information or materials of the kind referred to in this clause.
    4.1.6 None of the sites on which the Partner places links should offer incentives to users to click on ads, including but not limited to, cash, points, prizes, contest entries. 
    4.1.7 Partners sites must be content based, not simply a list of links or advertisements, nor centered round making money from the Partner scheme only. They must also be written in English only, be full functional, no “under construction” sites or sections. 
    4.1.8 Partner sites must not produce process pop ups and exist pop ups. 
    4.1.9 Partners sites must have a minimum of 2000 unique page views a month – and must be prepared to share information about its traffic including numbers of page views with Widernet. .

4.2 The Partner may not create a website or webpage which uses Christian Connection or Ivory Towers logos or designs in a manner that is likely to be confusing, e.g. near copies of the Christian Connection or Ivory Towers website, similar designs, graphics, look and feel,. In determining whether a subject webpage is likely to be confusing, Widernet shall, without waiver, have the sole discretion and to require the removal or redesign of the offending webpage. If Widernet concludes that a webpage or website of a  Partner is not confusing,  this does not waive any rights of Widernet  to require subsequent removal or redesign.

4.3 The Partner agrees not to register a domain name using the term “Christian Connection” “Widernet,,” “Ivory Towers,” whether these names are used alone or in combination with other words and includes all top level domains, i.e. “.com” “.net” “.org” etc. (“Prohibited Domain Name Terms”). If you have previously registered a Prohibited Domain Name Term, by continuing to remain a  Partner, you agree that upon termination of your Partner relationship, you will transfer the domain name that uses the Prohibited Domain Name Term to Widernet within 45 days. In such a case Widernet shall pay you a reasonable fee to cover the expenses necessary to transfer the Prohibited Domain Name Term, but in no instance will the amount exceed £5.

4.4 In the context of overseeing and administering the Service Widernet may monitor the Partners’ websites and any links from them.

4.5 All content the Partner provides to the Service is solely owned by it or (if it is a person) provided with the express authority of the company so represented.

4.6  The Partner cannot place Links in newsgroups or use unsolicited e-mail. Any Link placed must not mislead any Visitor and be placed with the Intention of delivering Valid Clicks to the Widernet Websites.

4.7   Widernet are registered under the Data Protection Act, the Partner must have signed up to the Data Protection Act 1998 if it is required to do so by Law.

5 VALIDATION OF QUALIFYING JOINERS

5.1 All new members of Widernet sites, who have been brought by Partners, will only be validated if:
    5.1.1 They are UK or Irish citizens and can satisfy Widernet of their citizenship by documentary evidence
	5.1.2 They have foreign citizenship but are living in the UK and Ireland and can produce a valid postal address, which is correct in every respect and can be proven. They must also supply a valid email address, which is registered in their name. 
    5.1.3 They have completed a full registration application and a profile – and have completed sufficient questions that would allow them to be approved as a Visible member of the site. 
    5.1.4They must comply with the particular member requirements of the site, they do comply: for example if they wish to join Christian Connection, they must confirm that they are Christians, if Ivory Towers that they are qualifying graduates.

6  PAYMENT

6.1 Commission shall be payable on the basis of people becoming members of websites on a full or trial basis. Rates on the basis of joiners or subscribers are published on the website and are subject to change.

6.2 Once Widernet has validated any commission, it will place the appropriate Commission into the Account. Time shall not be of the essence regarding these payments and the Partner shall not be entitled to receive any interest that accrues on these sums whilst deposited with Widernet.

6.3 If such payments are not banked by the Partner within six months then Widernet will be entitled to retain such monies.

6.4 Commission shall not be paid to a Partner if in any particular month if the balance of the Account is less than (if paid by credit transfer) £25 or (if paid by cheque) £50. The sum in question shall be included into the first month’s payment that aggregates the above thresholds.

6.5 The Partner recognises that Widernet may change or discontinue commission payments at any time and Widernet is responsible for informing the Partner of any such changes. Widernet will use its reasonable endeavours to provide email support for the Service.

7 PUBLICITY

7.1 You may not make any public announcement with respect to this Agreement or your participation in the Partner Programme without our prior written consent, which may be withheld at our sole discretion.

8 RESERVATION OF RIGHTS

8.1 The Partner accepts that Widernet reserves the right to
    8.1.1 change, modify, add or remove portions of this Agreement at any time and may add to, change, suspend or discontinue any aspect of the Service at any time. In either such case Widernet will notify Members via e-mail or, at which time Members may either agree to such changes or withdraw from the Service.
    8.1.2 charge a monthly administrative fee if in any three month period no new commissions are earned OR the Partner does not log into or access its site. This fee will deducted from the Account and once the Account’s balance is zero then Widernet will terminate this arrangement.
    8.1.3 review the Partner’s site so it can be certain that the terms of this agreement are being abided by.
    8.1.4 Widernet reserves the right to deem any site offering the Service inappropriate and end the relationship with the site in question or remove the Link (and therefore the Service). In such circumstances Widernet has the right to withhold any money earned (or not banked) by the Partner from use of the Service prior to termination.
    8.1.5 to redirect a Visitor if the Valid Link is initially made to a Widernet Website, which has been closed or for any other reason is inaccessible so that the Visitor visits a Website page which is live. This will not affect the payment of any Commissions.

9 LIMITATION OF LIABILITY AND INDEMNITY

9.1 The Service, its use and the results of such use are provided "as is" to the fullest extent permissible pursuant to applicable law, Widernet disclaims all warranties express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, in relation to the Service, its use and the results of such use. Without limiting the foregoing, Widernet specifically disclaims any warranty (a) that the Service will be uninterrupted or error-free, (b) that defects will be corrected, (c) that there are no viruses or other harmful components, (d) that the security methods employed will be sufficient, or (e) regarding correctness, accuracy, or reliability.

9.2 Widernet shall not be liable for any indirect, special, incidental or consequential loss of any character arising out of the use of or inability to use the Service or any information provided on the Widernet web site or any other hyper linked web site, including, without limitation, damages for loss of goodwill, any lost profits, business interruption, loss of programs or other data on any Partner’s information handling system or otherwise, even if Widernet has been advised of the possibility of such damages or (ii) any claim attributable to errors, omissions or other inaccuracies in the web site or any hyper linked web site.

9.3 No warranty can be made as to the performance of the Widernet and its websites or the number of Visitors any Partner’s site may receive.

9.4 The Partners will indemnify, defend, and hold harmless Widernet and its, officers, directors, employees and agents from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable solicitor's fees) directly or indirectly arising from or relating to any matter related to this Agreement or the subject matter hereof and any dispute relating thereto.

9.5 Widernet makes no representations whatsoever about any other web site which may be accessed through the Service. In addition, a link to a non-Widernet Web site does not mean that Widernet endorses or accepts any responsibility for the content or the use of such Web site.

10 DISCLOSURE AND COLLECTION OF INFORMATION AND CONFIDENTIALITY

10.1 The Partner confirms that the following information may be posted on any of Widernet’s Websites:
    10.1.1 the Partner’s identity as one of the entities that has subscribed to the Service; and
    10.1.2 any information (other than information expressly marked as being confidential) that is submitted by the Partner to Widernet.

10.2 The Partner confirms that in order to enable Widernet to improve and/or in order to promote or market the Service Widernet may produce statistics or summaries relating to the use of the Service and
    10.2.1 Widernet may contact the Partner by email, telephone or post for feedback regarding the Service including any ways in which it might be improved.

10.3 Widernet confirms to the Partner that it shall keep all information submitted by the Partner confidential SAVE THAT it is agreed by the Partner that Widernet may use the information disclosed by the Partner for any purposes that have been specified in this Agreement; and the confidentiality obligations in this clause shall not apply to any information specified below.
    10.3.1 any information which comes into the recipient party’s possession (from someone other than the party disclosing the information in question) with no obligation of confidentiality attached;
    10.3.2 any information which is disclosed with the prior approval of the disclosing party; and
    10.3.3 information which is either in the public domain or comes into the public domain through no act or omission of the party receiving the confidential information.

10.4 The Partner shall keep all information disclosed to the Partner by Widernet relating to Widernet’s business strictly confidential.

11 TERM AND TERMINATION

11.1 This Agreement shall commence on the date of this Agreement and it may be terminated by either party at any time if ten days written notice is given.

11.2 Either party may terminate immediately if the other is in breach of its obligations.

11.3 If the Partner accepts that if it acts fraudulently then Widernet shall terminate the agreement and will be entitled to retain the balance in the Account

11.4 The termination of this Agreement shall not limit the enforceability of any of the rights or obligations of the parties that accrued before the termination date

12 CONSEQUENCES OF TERMINATION

12.1 Upon the termination of the Agreement the Partner shall immediately remove all the Links from its sites and (for the avoidance of doubt) the Partner shall not be entitled to receive any Commission made on sales after the termination date.

12.2 The Partner shall acquire no rights following the termination of this Agreement to use any registered or unregistered trade marks or domain names or any text, or images, banners or any other works created by or for Widernet.

13 GENERAL

13.1 Modification: Widernet  reserves the right to update or amend these Terms and Conditions at any time and if the Partner  continues to maintain the Links following any changes you shall be deemed to have accepted such change. It is therefore your responsibility to check the Terms and Conditions on our Website regularly for any changes.

13.2 Severance: If any provision of this Agreement is held invalid, illegal or unenforceable for any reason by any Court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if this Agreement had been agreed with the invalid illegal or unenforceable provision eliminated.

13.3 Relationship Of Parties: Nothing in this Agreement shall be construed to create a partnership, joint venture or agency relationship between the parties. Neither party shall have the authority or power to bind the other party or to contract in the name of or create a liability against the other party in any way or for any purpose.

13.4 This Agreement is governed and construed in accordance with the laws of England and the parties submit to the exclusive jurisdiction of the English courts.

13.5 No third party shall acquire rights pursuant to the Law of Contracts (Rights of Third Parties) Act1999 is excluded
